These Terms of Service ("Terms") govern your use of the websites, products, and services provided by EchoStrand ("we," "us," or "our"), including echostrand.com and TDL (available at teedel.com). By accessing or using our services, you agree to be bound by these Terms.

2. Services
EchoStrand provides:
- Software Products: Web-based applications including TDL, a personal productivity tool available at teedel.com.
- Consulting Services: Custom website development and business application development for small businesses and tradespeople, provided under separate project agreements.
3. Accounts
Some of our products require you to create an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must provide accurate and complete information when creating an account. You may delete your account at any time through the product's self-service account deletion feature or by contacting us.
4. Subscriptions and Pricing
TDL
- Free trial: New users receive a 30-day free trial with full access to all features. No payment information is required to start the trial.
- Pricing: After the free trial, TDL is available at $1.00 USD per month or $9.00 USD per year.
- Billing: Subscriptions are billed on a recurring basis (monthly or annually) through Stripe. You will be charged at the beginning of each billing period.
- Price changes: We may adjust pricing with at least 30 days' notice. Price changes will take effect at the start of your next billing period after the notice period.
Consulting Services
Consulting services are provided under separate project agreements with individually negotiated terms, scope, and pricing. These Terms apply to the general relationship; project-specific terms take precedence where they differ.
5. Cancellation and Refunds
TDL Subscriptions
- You may cancel your subscription at any time through your Stripe Customer Portal or by contacting us.
- Upon cancellation, you will retain access to all paid features through the end of your current billing period.
- No refunds are provided for partial billing periods. Since TDL offers a 30-day free trial, you have ample time to evaluate the product before being charged.
- We do not charge cancellation fees.
Consulting Services
Refund and cancellation terms for consulting engagements are governed by the individual project agreement. In the absence of a specific agreement, either party may terminate the engagement with written notice, and any fees for completed work are non-refundable.
6. Payment Processing
All payments are processed by Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your credit card information on our servers. All transactions are processed in USD. Your bank statement will show charges from EchoStrand or our payment processor.
7. Acceptable Use
You agree not to:
- Use our services for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to our systems, other users' accounts, or data.
- Interfere with or disrupt the integrity or performance of our services.
- Reverse engineer, decompile, or disassemble any part of our software.
- Use automated systems (bots, scrapers) to access our services without prior written consent.
8. Intellectual Property
Our Products
All software, designs, content, and materials in our products are owned by EchoStrand and protected by applicable intellectual property laws. Your subscription grants you a non-exclusive, non-transferable, revocable license to use the product for its intended purpose.
Your Data
You retain ownership of all data you enter into our products. We do not claim any rights to your content. You can export your data at any time using the built-in export features.
Consulting Deliverables
Ownership and licensing of deliverables from consulting engagements are defined in the individual project agreement.
9. Availability and Support
We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime. We will make reasonable efforts to provide advance notice of planned maintenance. Support is available via email at hello@echostrand.com.
10. Limitation of Liability
To the maximum extent permitted by law, EchoStrand shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claim related to our services shall not exceed the amount you paid us in the twelve months preceding the claim.
11. Disclaimer of Warranties
Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.
12. Indemnification
You agree to indemnify and hold harmless EchoStrand from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of our services or violation of these Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.
14. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised effective date. For subscription users, material changes will take effect at the start of the next billing period following notice. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
